Welcome to Fizz.ai. These Terms of Service ("Terms") govern your use of the Fizz.ai website, mobile website, and services ("Fizz.ai", "we", "us", or "our"), including any content, features, or functionality made available by us.

Fizz.ai is owned and operated by North Bay Opco I, Inc., a Delaware corporation in the United States of America.

Fizz.ai provides access to digital interactions with AI-generated personas ("AI Agents"). All conversations between users and AI Agents are entirely fictional and intended for entertainment and personal exploration only. These characters are powered by artificial intelligence and are designed to simulate human-like interaction—but they do not have real emotions, thoughts, intentions, or the capacity to make or fulfill real-world commitments. Any conversation elements that resemble real-life scenarios—such as offers to meet in person, make purchases, or engage in physical relationships—are purely fictional and should not be taken literally.

Fizz.ai does not assume any responsibility for misunderstandings, confusion, or real-world actions based on these interactions. Users should always keep in mind that these AI Agents exist only within the digital ecosystem of the Fizz.ai platform, and any expectations or beliefs beyond that scope are neither supported nor endorsed by Fizz.ai, North Bay Opco I, Inc, or North Bay Ventures.

By accessing or using Fizz.ai, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Eligibility

You must be of legal age to access content of this nature in your jurisdiction. By using Fizz.ai, you confirm that you're legally allowed to use services involving simulated relationships and fictional experiences.

2. Account Registration

To access certain features, you'll need a Fizz.ai account. You agree to:

• Provide accurate and current information.
• Keep your credentials secure.
• Take responsibility for any activity that happens under your account.
• Notify us of any unauthorized access immediately.

3. Use of Fizz.ai

Fizz.ai is for personal, lawful, and non-commercial use only. You agree not to:

• Use the service for business, resale, or promotional purposes without permission.
• Break the law or violate platform rules.
• Exploit or interfere with our AI systems or platform infrastructure.

Any misuse or violation may result in suspension or permanent removal from the platform.

4. AI Content and Interactions

Fizz.ai uses artificial intelligence to simulate interactive personas. These AI Agents:

• Are fictional characters—not real people.
• Don't have emotions, consciousness, or real-world intentions.
• Cannot enter into or fulfill real-life obligations.

5. User Conduct

Fizz.ai is a place for respectful, creative, and safe interaction. You agree not to:

• Post, share, or generate illegal, offensive, or exploitative content.
• Harass or threaten users, AI Agents, or staff.
• Interfere with the service's performance or attempt to breach its security.
• Violate our Community Guidelines or applicable laws.

5.1 Rules and Restrictions

You further agree that you will not:

• Modify, adapt, or reformat any part of the platform.
• Attempt to reverse-engineer or extract any code or system logic.
• Tamper with our security systems or bypass restrictions.
• Access third-party data or systems without permission.
• Overload or disrupt our infrastructure.
• Use the platform in ways that expose us to liability.
• Use the platform for unlawful, harmful, or criminal purposes.
• Remove or hide copyright, trademarks, or notices.
• Violate local or international law while using Fizz.ai.

5.5 Prohibited Content Reporting

We have zero tolerance for child sexual abuse material (CSAM). Creating or attempting to generate CSAM is illegal and banned under our Community Guidelines. We actively report confirmed instances to the National Center for Missing and Exploited Children (NCMEC) or the appropriate authorities.

6. DMCA Policy

Fizz.ai respects intellectual property rights. If you believe your content has been misused on our platform, please consult our DMCA Policy for instructions on submitting a takedown request.

7. Content Removal Policy

We reserve the right to moderate and remove content that violates our Terms, policies, or legal obligations. Please refer to our Content Removal Policy for full details on how content is reviewed, removed, or appealed.

8. Intellectual Property

Everything on Fizz.ai—including AI outputs, interactions, user-generated content, branding, and technology—is the exclusive property of North Bay Opco I, Inc.

By using the platform, you acknowledge that anything created, submitted, or generated becomes part of our system and may be used to improve or operate the service. You also grant us the right to use your username and other identifying account information consistent with your privacy preferences and our Privacy Policy.

9. Privacy

We value your privacy. Please refer to our Privacy Policy to understand what information we collect, how we use it, and how we keep it safe.

10. Paid Features and Subscriptions

Fizz.ai offers optional paid subscriptions and tokens (fizz) that unlock additional features or usage limits. By purchasing, you:

• Authorize recurring charges in according to the plan you purchase.
• Acknowledge that all purchases are final
• Accept that feature availability may change over time.

10.1 Cancellation

You can view and manage your subscription under My Profile > Settings. To cancel, go to Settings > Unsubscribe. Your subscription will remain active through the current billing cycle and won't auto-renew after cancellation.

11. Virtual Tokens and Subscriptions

Fizz.ai also offers Fizz Tokens, a form of virtual credit for unlocking premium content or AI interactions.

• Tokens/Fizz are non-refundable and hold no monetary value outside the platform.
• Subscription plans and tokens may be modified, updated, or discontinued at our discretion.

Purchasing either constitutes acceptance of our pricing and payment terms.

12. AI Limitations and Expectations

AI content is generated in real time based on your inputs. While we strive for a great experience, the output may not always be accurate, consistent, or aligned with your preferences.

We also reserve the right to filter, block, or adjust prompts and outputs that violate platform rules. We appreciate your understanding as the technology continues to improve.

13. Limitations of Liability

Fizz.ai is provided "as is" and "as available." We don't guarantee that the platform will always work perfectly, meet your expectations, or be completely error-free.

To the fullest extent allowed by law, North Bay Opco I, Inc. is not responsible for:

• Any losses from using or being unable to use the platform;
• Any bugs, delays, or interruptions;
• Emotional distress or decisions based on AI content;
• Any third-party service failures.

Total liability, if any, is limited to what you've paid us in the last 12 months.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA. Any disputes must be resolved in Florida in the USA, and you consent to the exclusive jurisdiction of those courts.

15. Changes to Terms and Policies

We may update these Terms or any related policy at any time and at our discretion. We'll post changes on the platform, and may also notify you directly.

Your continued use of Fizz.ai means you accept the most current version, so please check back periodically for updates.

16. Termination and Assignment

You can stop using Fizz.ai anytime and cancel your subscription through your account settings.

We may suspend or terminate your access at any time, with or without notice, especially if you violate these Terms.

We also reserve the right to assign, transfer, or subcontract any part of the platform or business operations to another party. Your continued use implies consent to such transitions.

17. Miscellaneous

If any part of these Terms is found to be invalid or unenforceable, the rest remains in effect. We'll enforce the intended meaning as far as legally possible.

These Terms, along with our Privacy Policy and other posted policies, form the entire agreement between you and us regarding Fizz.ai. Any previous understandings, oral or written, are replaced.

We collect and process your data in accordance with our Privacy Policy.
